Terms of Service

1. Acceptance of Terms

By accessing or using the runClear platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

runClear is a business operations management platform that provides tools for customer relationship management (CRM), sales pipeline management, quoting, order management, and inventory tracking. The Service is designed for business use and is provided at runclear.app.

3. Account Registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the security of your account credentials, including your password and any API keys.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately if you become aware of any unauthorized use of your account.

4. Acceptable Use

You agree not to:

  • Use the Service for any illegal or unauthorized purpose.
  • Attempt to gain unauthorized access to other users' accounts, organizations, or data.
  • Interfere with or disrupt the Service or its infrastructure.
  • Use automated scripts or bots to scrape, crawl, or extract data from the Service outside of our provided API.
  • Upload malicious files, viruses, or harmful content.
  • Resell, sublicense, or redistribute the Service without our written consent.

5. Your Data

You retain ownership of all business data you enter into the Service (including contacts, companies, deals, quotes, orders, inventory records, and file attachments). By using the Service, you grant us a limited license to host, store, process, and display your data solely to provide and improve the Service.

You are responsible for the accuracy and legality of the data you enter. We do not claim ownership of your data and will not access it except as needed to operate the Service or as required by law.

6. Intellectual Property

The Service, including its design, code, branding, and documentation, is owned by runClear and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or branding without prior written consent.

7. API Usage

If you use the runClear API, you agree to:

  • Comply with the rate limits in effect (currently 10,000 requests per day per API key).
  • Keep your API keys confidential and not share them publicly.
  • Accept that we may revoke API keys that are used in violation of these Terms.

8. File Uploads

The Service allows you to upload files as attachments to records. File uploads are subject to the following limits:

  • Maximum file size: 5 MB per file.
  • Maximum 10 attachments per record.
  • Allowed file types: images, PDFs, spreadsheets (XLSX, XLS, CSV), and ZIP archives.

You are solely responsible for the content of files you upload and must ensure they do not violate any applicable laws or third-party rights.

9. Third-Party Services

The Service integrates with third-party authentication providers (Google and GitHub) for optional sign-in. Your use of these providers is governed by their respective terms of service and privacy policies. We are not responsible for the practices of third-party services.

10. Termination

We may suspend or terminate your access to the Service at any time if you violate these Terms or engage in conduct that we reasonably believe is harmful to the Service or other users. You may request closure of your account by contacting us at team@runclear.app.

11. Disclaimers

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

12. Limitation of Liability

To the maximum extent permitted by law, runClear shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or in connection with your use of the Service, regardless of the theory of liability.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
